Terms of Service Agreement
Welcome to Editly ("we," "our," "us"). These Terms of Service ("Terms") govern your access and use of Editly's applications, APIs, websites, and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use Editly.
1. Eligibility
You must be at least 13 years old (or the age of digital consent in your country) to use Editly.
If you use Editly on behalf of an organization, you represent that you have authority to bind it to these Terms.
2. Use of Services
You may use Editly only for lawful purposes and in compliance with these Terms.
You agree not to misuse our Services, including but not limited to:
- Uploading unlawful, infringing, or harmful content.
- Attempting to reverse-engineer, hack, or disrupt our systems.
- Violating the rights of others, including copyright and privacy.
- Using the materials for any commercial purpose (excluding Pro/Enterprise plans) or for any public display.
- Removing any copyright or other proprietary notations from the materials.
3. Accounts
- You are responsible for keeping your login credentials secure.
- You are responsible for all activity under your account.
- We may suspend or terminate your account if you violate these Terms.
4. Content
Your Content: You retain all rights to content you create, upload, or process with Editly. You grant us a limited license to store and process your content solely to provide the Services. By uploading content, you grant Editly a worldwide, non-exclusive license to process, modify, and store your content solely for the purpose of providing the video editing service to you.
Our Content: All Editly trademarks, code, and materials remain our exclusive property.
5. Payments & Subscriptions
Some features of Editly may require payment. By subscribing, you agree to pay the fees described at checkout.
- Fees are non-refundable unless required by law or as specified in our Refund Policy.
- We may change prices with reasonable notice.
6. Music Licensing & Third-Party Services
Editly integrates with third-party music providers, including Artlist, to provide background music for your videos.
Personal Use: Videos created through Editly containing music from these providers may be used for personal, non-commercial purposes.
Commercial Use: If you intend to use videos generated through Editly for commercial or professional purposes (including but not limited to monetized social media content, advertising, or any use that generates revenue), you are required to obtain a valid subscription directly from Artlist to comply with their licensing terms.
Editly is not responsible for any copyright claims or licensing violations arising from unauthorized commercial use of music in your videos. It is your responsibility to ensure compliance with all applicable licensing requirements.
7. APIs and Developer Use
If you use Editly APIs, you must comply with these Terms and any additional developer documentation.
You may not abuse API access (e.g., by spamming, reselling without permission, or overloading systems).
8. Service Availability
Editly strives to ensure high availability but does not guarantee 100% uptime. We reserve the right to modify, suspend, or discontinue the service at any time for maintenance or updates.
9. Privacy
Your privacy is important to us. Our collection and use of data is described in our Privacy Policy.
10. Disclaimers
Editly is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
We do not guarantee uninterrupted, secure, or error-free operation.
In no event shall Editly or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Editly's website.
11. Limitation of Liability
To the maximum extent permitted by law, Editly and its team shall not be liable for indirect, incidental, or consequential damages arising out of your use of the Services.
12. Termination
You may stop using Editly at any time.
We may suspend or terminate your access if you violate these Terms or misuse our Services.
13. Changes to Terms
We may update these Terms from time to time. If we make material changes, we'll provide notice (such as posting online or sending an email). Continued use of Editly means you accept the new Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of California, USA, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
